Effective Date is the Date the Agreement is Signed
This Non-Compete Agreement is entered into between Seattle View LLC and for the purpose of protecting Company's legitimate business interests, including but not limited to, trade secrets, customer relationships, and confidential information. In consideration of the Employee's employment with the Company and access to its confidential information, Employee agrees to the following non-compete restrictions. Employee shall not, directly or indirectly, engage in or participate in any business or occupation that competes with the business conducted by the Company for a period of employment following the termination of Employee's employment with the Company. Employees shall not engage in any competitive activities within a geographic area of Ohio which includes but is not limited to Ohio.
During the Non-Compete Period, Employee shall not:
- Work for, consult with, or provide services to a competitor of the Company.
- Own, manage, operate, or have any financial interest in any business that competes with the company.
- Solicit, contact, or engage with any customers or clients of the Company for competitive purposes.
- Use or disclose any confidential or proprietary information belonging to the Company.
In exchange for the promises contained in this Agreement, the Employee acknowledges and agrees that the opportunity to work for the Company and gain access to its confidential information and trade secrets is sufficient consideration. Employee acknowledges that any violation of this Agreement may result in legal action, including injunctive relief and damages.
This Agreement shall be governed by and construed in accordance with the laws of the state of Ohio.
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Non-Compete Agreement as of the Effective Date.
